Who we are

NVAnnualReport.com ("we", "us") is a filing preparation service operated by Inenvi, PO Box 93178, Las Vegas, Nevada, 702.851.3444. We are not a law firm and do not give legal advice. We are not affiliated with, endorsed by, or a division of the Nevada Secretary of State. You can file directly with the state at no charge beyond the state's own fees.

What we do

We prepare and submit Nevada Annual List and State Business License filings for Nevada business entities, using the information you confirm at checkout. Our standard service is hands-off yearly filing: after your first filing we file again each year when the entity's Annual List comes due, with the same information unless you change it, under the Automatic Filing Terms. You can instead choose a one-time filing at checkout.

Your responsibilities

You confirm that you are authorized to sign and file on behalf of the entity, or are acting at the direction of someone who is. You are responsible for the accuracy and completeness of the officers, managers, members, addresses, business license information and signer details you submit. We file what you confirm; we do not verify it against anything other than the public record.

Fees and payment

Our preparation fee is $29 per filing year. State fees set by the Nevada Secretary of State (currently $150 for the Annual List and $200 or $500 for the State Business License, depending on entity type) are passed through at cost. Every amount is shown to you before you pay. If the state changes a fee by statute, the then-current state fee applies to filings made after the change.

Payments are processed by our payment processor. We never see or store your card number; we keep only a payment token, the last four digits, the card brand and the expiry date. For a filing we may authorize the full amount when you order and capture it once the state accepts the filing. If a filing cannot be made, the authorization is released or the charge refunded under our Refund Policy.

Timing

We verify the entity's current record with the state before filing and submit the filing within two business days of a completed order when the entity is eligible to file. State processing and posting times are outside our control. If the state rejects a filing we tell you why and, when the rejection is for a reason within our control, we correct and refile at no charge.

When we will not file

We do not file for an entity whose status does not allow an Annual List (for example dissolved, merged, withdrawn or permanently revoked), for a filing period the state already shows as filed, or when a payment fails. In each case we tell you and do not charge for the filing.

Public record information

Entity, officer, address and registered agent pages on this site reproduce the Nevada Secretary of State's public record. How that information is handled, and how an officer can ask for an address to be withheld, is described in our Privacy Policy.

Limitation of liability

Our total liability arising from any filing or failure to file is limited to the preparation fee you paid us for that filing. We are not liable for state penalties, loss of good standing or other consequences that result from inaccurate information you provided, from a declined or expired payment method, from a cancelled enrollment, or from delays or errors at the state. We are not liable for indirect, incidental or consequential damages.

Cancelling an order

You can cancel a filing that has not yet been submitted to the state for a full refund of the preparation fee and any state fees collected. Once a filing is submitted, state fees cannot be recovered. We may decline or cancel an order at our discretion and will refund any amount collected for it.

Accounts

An account is created for the email address you use at checkout. Keep your password confidential; you are responsible for activity under your account. We may suspend an account used to submit fraudulent or unauthorized filings.

Governing law

These terms are governed by the laws of the State of Nevada. Any dispute is brought in the state or federal courts located in Clark County, Nevada.

Changes

We may update these terms. The effective date at the top changes when we do, and material changes to the Automatic Filing Terms are emailed to enrolled customers before they take effect.
